NEON RAPTOR BREWING COMPANY LTD - TERMS AND CONDITIONS OF SALE
1. Definitions:
a. "Neon Raptor Brewing Company" refers to the seller.
b. "Customer" refers to the purchasing party.
2. Orders and Acceptance:
a. All orders placed by the Customer are subject to acceptance by Neon Raptor Brewing Company.
b. Neon Raptor Brewing Company reserves the right to refuse any order.
3. Payment Terms:
a i. Pro Forma: The first three orders are strictly pro forma, requiring advance payment before processing.
a ii.. 14 Days Terms: After the first three orders, payment is due within 14 days from the date of the invoice.
b i. Direct Debit at 14 Days: For the first three orders customers may opt for direct debit, with payment due within 14 days from the date of the invoice.
b ii. Direct debit customers have the option for 30 days terms with payment due 30 days from the date of the invoice. This option is only valid after three order have been paid in full.
Conditions Apply: Direct debit customers must meet Neon Raptor Brewing Company's credit criteria, and conditions for direct debit are subject to approval.
4. Pricing and Taxes:
a. Prices are as stated in the Neon Raptor Brewing Company price list at the time of order.
b. Prices are exclusive of taxes, and any applicable taxes will be added to the invoice.
5. Discounts:
a. Discounts, if agreed upon, will be specified in writing and applied to eligible orders.
b. Neon Raptor Brewing Company reserves the right to remove agreed-upon discounts if payment has not been made in full within the agreed-upon terms.
6. Delivery:
a. Delivery dates are estimated, and Neon Raptor Brewing Company shall not be liable for any delays.
b. Risk of loss or damage passes to the Customer upon delivery.
7. Returns and Refunds:
a. Returns are only accepted for defective or damaged goods.
b. Customers must notify Neon Raptor Brewing Company of any issues within 7 days of delivery.
8. Ownership of Goods:
a. Ownership of the goods remains with Neon Raptor Brewing Company until full payment is received.
9. Credit Limit:
a. Neon Raptor Brewing Company reserves the right to set credit limits for Customers.
b. Exceeding the credit limit may result in the suspension of further deliveries until outstanding payments are settled.
10. Governing Law:
a. These terms and conditions shall be governed by and construed in accordance with UK laws.
11. Amendments:
a. Neon Raptor Brewing Company reserves the right to amend these terms and conditions at any time.
b. Customers will be notified of any changes in advance.
By placing an order with Neon Raptor Brewing Company, the Customer agrees to these terms and conditions.
